Enterprise EULA
1. Definitions and scope
Publisher / Licensor / Provider: Emmanuel Revy, sole trader (entrepreneur individuel, EI), trading under the commercial name ProxCenter. Business establishment: 173 rue de Courcelles, 75017 Paris, France. Registered with the French National Business Register (RNE) under SIREN 885 316 455 and SIRET 885 316 455 00017. Contact: [email protected]. "Software" means ProxCenter Enterprise Edition, its updates, patches and supplied documentation. "Licensee" means the professional entity in the Order. "Licence Key" is the activation key. "Node" means one Proxmox VE or Proxmox Backup Server host managed by the Software. "Subscription Period" means the paid term in the Order. This EULA applies only to Enterprise Edition. Community Edition is governed by AGPL-3.0 and the relevant repository or package notices.
2. Licence grant
Subject to payment and compliance with the commercial documents, the Licensor grants the Licensee for the Subscription Period a limited, non-exclusive, non-transferable and non-sublicensable licence to install and use the Software on its own infrastructure for its internal professional purposes, up to the licensed number of Nodes. The licence is terminable only under this EULA and the Terms of Sale; it does not transfer ownership.
3. Restrictions
Except to the extent expressly permitted by mandatory law, including statutory rights relating to interoperability, the Licensee must not copy, redistribute, sublicense, sell, lease, lend or make the Software available to a third party; reverse engineer, decompile or disassemble it; modify it or create derivative works; remove notices; share a Licence Key; provide managed or hosted services to third parties without written agreement; bypass licence controls; or exceed the Node count. An authorised partner may resell or provision licences only under a separate written partner agreement. Such agreement does not authorise modification, derivative works, circumvention or use beyond the end customer's licensed scope.
4. Ownership and open source
The Software, documentation and associated rights remain the Licensor's or its licensors' property. Third-party and open-source components remain governed by their respective notices, which prevail for those components.
5. Customer environment and limited validation data
The Software is self-hosted. The Licensee is responsible for infrastructure, configuration, access controls, backups, testing and compliance. Using the Software does not itself give the Licensor a right to access infrastructure, credentials or production data. Licence validation may process only the Licence Key and technical data genuinely necessary to validate entitlement, such as Software version and observed Node count, consistently with the Privacy Policy and implementation.
6. Updates, support, warranty and liability
Active Subscription rights, pricing, tax, payment, renewal, updates and support are governed by the Terms of Sale and SLA. The express warranty in the Terms of Sale is the sole warranty. The liability exclusions and cap in the Terms of Sale apply to this EULA.
7. Term and order of precedence
This EULA starts when the key is made available or activated and ends on expiry unless renewed, or earlier on termination. On expiry or termination, Enterprise use must stop and the key be deleted or disabled. Community rights, if separately available, continue solely under AGPL-3.0. Order commercial variables prevail; the Terms of Sale prevail for payment, taxes, privacy and liability; this EULA prevails for Enterprise licence scope and intellectual property; the SLA prevails only for support targets. French law applies subject to mandatory law; jurisdiction is determined by applicable procedural law.
